Adaptive Web Hosting Affiliate Program Terms of Service
Effective Date: 1/1/2025
This Affiliate Program Terms of Service ("Agreement") is a binding contract between Adaptive Web Hosting ("Adaptive", "we", "us", or "our") and you ("Affiliate", "you", or "your"). By joining the Adaptive Affiliate Program, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, which governs your participation in our Affiliate Program.
Participation in the Affiliate Program is conditional on full compliance with these terms. If you do not agree, do not enroll in or use the Affiliate Program.
1. Program Eligibility & Enrollment
1.1 To join, you must submit a completed Affiliate Application via our website. Adaptive reserves the right to accept or reject any application at its sole discretion, for any reason or no reason.
1.2 Sites that contain or promote unlawful, infringing, hateful, obscene, violent, pornographic, or otherwise inappropriate content, or that facilitate illegal activity or copyright violation, are not eligible for participation.
2. Contact & Tax Information
2.1 You must provide accurate and current contact details, including a valid email address and PayPal account. We are not responsible for miscommunication due to outdated or inaccurate information.
2.2 U.S.-based affiliates earning $600 or more annually must submit tax documentation. Failure to provide required information will result in withheld commissions.
3. Modifications to the Program
3.1 Adaptive may modify this Agreement or the Affiliate Program—including commission structures—at any time. Changes will be published at:

3.2 Your continued participation in the Program after modifications are posted constitutes acceptance of those changes.
4. Approved Promotion Methods
4.1 Trackable Links
You may promote Adaptive using unique affiliate tracking links provided in the Affiliate Manager.
4.2 Manual Referrals
You may refer users manually by providing your unique Affiliate ID at checkout or via your Adaptive control panel.
5. Prohibited Promotion Methods
5.1 Paid Search (PPC)
Using Adaptive’s brand name, domain name, or trademarks in PPC campaigns (e.g., Google Ads) is strictly prohibited. Violations will result in immediate termination and forfeiture of all pending commissions.
5.2 Spam
Spam of any kind—including emails, forums, blog comments, and social media—is prohibited. Violations result in immediate program removal and commission forfeiture.
6. Qualified Sales Criteria
To qualify for commission, referred customers must:
Submit a valid order through a trackable link or with your Affiliate ID.
Provide accurate and verifiable contact information.
Not have been previously hosted with Adaptive.
Not have been referred previously (duplicate referrals are disqualified).
Remain active for at least 90 consecutive days, with a live domain and active website.
Not cancel due to violation, non-payment, or chargeback.
Comply fully with Adaptive’s Terms of Service.
Not be associated with a special promotion or discount unless explicitly allowed.
Adaptive reserves the right to audit and disqualify any sale deemed suspicious, fraudulent, or non-compliant.
7. Commission & Payment Terms
7.1 Commission Eligibility
Commission becomes eligible for payout after:
90 days of the referred site being active and in good standing.
Reaching the minimum payout threshold specified in Exhibit A.
7.2 Payout Method
Payouts are made via PayPal or Adaptive hosting credits.
All commissions are paid in U.S. dollars.
Affiliates are responsible for any third-party transaction fees and taxes.
7.3 Payment Timing
Payments are processed monthly, typically on the 5th business day. If the 5th falls on a holiday or weekend, payouts are made on the next business day.
7.4 Withholding Rights
We reserve the right to withhold or delay payments if:
An unusual number of chargebacks or cancellations occur.
We suspect fraud or policy abuse.
8. Program Integrity & Performance
8.1 Inactive Accounts
Affiliate accounts with no login activity for 12+ months will be considered abandoned. Any remaining commissions will be voided.
8.2 Unclaimed Earnings
Unclaimed eligible commissions will expire after 36 months and are permanently forfeited.
9. Affiliate Manager Portal
All affiliates have access to the Affiliate Manager at:
https://cp.adaptivewebhosting.com
The portal provides marketing tools, reports, payout requests, and commission tracking.
10. FTC Compliance
You are required to follow FTC 16 CFR Part 255, which mandates clear disclosure of any financial relationship between you and Adaptive in any promotional material.

Non-compliance will result in immediate termination and forfeiture of commissions.
11. Use of Adaptive Trademarks
You are granted a limited, non-exclusive, revocable license to use Adaptive’s logos and banners only in connection with affiliate promotions. You may not modify or misrepresent our brand in any way.
12. Independent Contractor Status
Affiliate and Adaptive are independent entities. Nothing in this Agreement constitutes a partnership, agency, franchise, or joint venture.
13. Termination & Enforcement
13.1 We may terminate your participation at any time, with or without cause.
13.2 Violations of this Agreement, including fraud or policy abuse, will result in immediate termination and forfeiture of commissions.
13.3 We reserve the right to report illegal activity to authorities or cooperate with legal investigations.
14. Indemnification
You agree to indemnify and hold harmless Adaptive and its officers, directors, employees, and agents from any third-party claims arising from your affiliate activities, including infringement, false advertising, or violation of law.
15. Limitation of Liability
To the fullest extent permitted by law:
Adaptive shall not be liable for indirect, incidental, or consequential damages.
Adaptive shall not be responsible for data loss, system failure, or third-party access due to misuse or negligence.
Our total liability under this Agreement shall not exceed $0 USD.
16. Disclaimers
Adaptive makes no warranties regarding:
The operation of its websites or affiliate tracking systems.
The fitness or availability of its services.
All services are provided “as is” and “as available”.
17. Representations & Warranties
By participating, you warrant that:
You have legal authority to enter into this Agreement.
Your promotional content complies with all applicable laws and third-party rights.
You will not mislead, defraud, or impersonate others while promoting Adaptive.
18. Assignment
You may not assign your rights or obligations under this Agreement. Adaptive may assign this Agreement without restriction.
19. Governing Law
This Agreement is governed by the laws of the Commonwealth of Massachusetts, excluding its conflict of law principles. All disputes shall be resolved in the appropriate courts of that jurisdiction.
