Adaptive Web Hosting — Terms & Conditions (Terms of Service)

These Terms & Conditions ("Terms," "Terms of Service," or "TOS") govern your access to and use of the websites, hosting, email, domain, and related services (collectively, the "Services") provided by Adaptive Web Hosting ("Adaptive," "we," "us," or "our"), a Massachusetts company. By creating an account, purchasing a plan, or otherwise using the Services, you ("Customer," "you," or "your") agree to be bound by these Terms, our Acceptable Use Policy, our Privacy & Cookie Policy, and our Domain Name Agreement, each of which is incorporated by reference. If you do not agree, do not use the Services.

1. Eligibility and Account Registration

1.1 You must be at least 18 years of age and able to form a legally binding contract to use the Services.

1.2 You agree to provide accurate, current, and complete information during registration and to keep it up to date. Accounts opened with false, incomplete, or fraudulent information may be suspended or terminated.

1.3 You are responsible for safeguarding your account credentials and for all activity that occurs under your account. If you suspect unauthorized use, notify us immediately by opening a support ticket from your client area at cp.adaptivewebhosting.com, or by emailing [email protected] if you cannot access your account.

2. Description of Services

2.1 Adaptive provides Windows-based web hosting optimized for Microsoft technologies, including Windows Server 2022 with IIS 10, classic ASP.NET 2.0–4.8, modern .NET (LTS runtimes such as .NET 8 and .NET 10, with self-contained deployments supporting additional versions), and Blazor.

2.2 Hosting plans include dedicated IIS application pools, SQL Server 2022 and MariaDB databases, free SSL on every site, automated backups, DDoS protection and a Web Application Firewall, the Plesk control panel, and a 99.99% uptime Service Level Agreement. SmarterMail Pro mailboxes are available as an optional add-on.

2.3 The Services are hosted in our United States data center (AWS, Northern Virginia region).

2.4 We may add, modify, or discontinue features of the Services at any time. Where a change materially reduces a core feature of your active plan, we will make reasonable efforts to provide advance notice.

3. Plans, Fees, and Billing

3.1 Adaptive offers tiered hosting plans (currently ASP.NET Developer, ASP.NET Business, and ASP.NET Professional). Plan features and current pricing are published at adaptivewebhosting.com and may be updated from time to time. The fees in effect at the time of your purchase or renewal apply to that term.

3.2 Services are billed in advance on a recurring basis according to the billing cycle you select at checkout. By purchasing a plan, you authorize us (and our payment processor) to charge the applicable fees, including renewals, to your payment method until you cancel.

3.3 All fees are stated exclusive of applicable taxes, which will be added where required by law. You are responsible for any taxes, duties, or levies associated with your use of the Services other than taxes on our net income.

3.4 If a charge is declined or a payment is overdue, we may suspend the affected Services. Accounts that remain unpaid may be terminated and their data deleted in accordance with Section 11.

4. Refunds and Money-Back Guarantee

Adaptive offers a 30-day money-back guarantee on first-time hosting plan purchases. The complete terms — including what is and isn't covered, renewal rules, chargebacks, and how to request a refund — are set out in our Refund Policy, which is incorporated into these Terms by reference.

5. Renewals and Cancellation

5.1 To prevent service interruption, plans renew automatically at the end of each billing cycle at the then-current rate unless you cancel before the renewal date.

5.2 You may cancel at any time by logging in to your client area at cp.adaptivewebhosting.com and submitting a cancellation request using the Account Cancellation option for the relevant service; we do not accept cancellations by email. Cancellation stops future renewals; it does not, by itself, entitle you to a refund of fees already paid except as provided in Section 4.

5.3 Upon cancellation or expiration, your right to use the Services ends and associated data may be deleted. You are responsible for retrieving your data before that time.

6. Acceptable Use

6.1 Your use of the Services is subject to our Acceptable Use Policy (AUP), which prohibits, among other things, illegal activity, spam and unsolicited communications, network abuse and security violations, infringing or prohibited content, cryptocurrency mining, and other high-risk or abusive uses.

6.2 Violations of the AUP may result in throttling, suspension, or termination of the Services, with or without notice, and may be reported to law enforcement. The current AUP is available on our website and forms part of these Terms.

7. Customer Responsibilities

7.1 Content and conduct. You are solely responsible for all content, code, applications, and data you upload, store, or transmit using the Services, and for ensuring you have the rights to do so.

7.2 Security. You are responsible for securing your applications, databases, scripts, and control-panel access; using strong, unique passwords; keeping software, plugins, and content-management systems up to date; and configuring appropriate file permissions. Compromised sites or mailboxes may be suspended immediately to protect the wider platform.

7.3 Migrations. Adaptive does not perform website or data migrations on your behalf. You are responsible for moving your code and data to and from the Services. The Money-Back Guarantee in Section 4 is intended to let you evaluate the Services risk-free.

7.4 Backups. While we provide automated platform backups as a convenience, you are responsible for maintaining your own independent backups of your data. See Section 9.

8. Service Availability

8.1 We target 99.99% uptime as described in our Service Level Agreement. Notwithstanding that target, the Services may be temporarily unavailable due to scheduled maintenance, emergency maintenance, updates, or factors beyond our reasonable control, and we do not warrant uninterrupted or error-free operation.

8.2 We will make reasonable efforts to schedule planned maintenance during low-traffic periods and to provide notice where practicable.

9. Backups and Data Loss

9.1 Automated backups are provided on a commercially reasonable basis and are not guaranteed to be complete, current, or recoverable in every circumstance.

9.2 To the fullest extent permitted by law, Adaptive is not liable for any loss, corruption, or unavailability of data. You agree to maintain your own backups of any data you consider important.

10. Domain Name Registration

10.1 Domains registered, transferred, or renewed through Adaptive are subject to our Domain Name Agreement and the policies of the relevant registry and ICANN, which are incorporated by reference.

10.2 Domain fees are non-refundable once a registration, transfer, or renewal has been submitted. You are responsible for keeping registrant contact information accurate and for renewing domains before expiration.

11. Suspension and Termination

11.1 We may suspend or terminate your access to all or part of the Services, with or without notice, if you breach these Terms or the AUP, fail to pay fees when due, create a security or stability risk to our infrastructure or other customers, or use the Services unlawfully.

11.2 For zero-tolerance violations — including hosting malware, spam, or child-exploitation material, or causing a denial of service to our infrastructure — we may terminate immediately, without notice or refund.

11.3 Upon termination, your right to use the Services ends and we may delete your data. Sections that by their nature should survive termination (including Sections 9, 12, 13, 14, 15, 16, and 17) will survive.

12. Intellectual Property

12.1 The Services, including our software, control-panel configurations, documentation, trademarks, and website content, are owned by Adaptive or our licensors and are protected by intellectual-property laws. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.

12.2 You retain ownership of the content and code you upload. You grant Adaptive a limited license to host, copy, transmit, and back up that content solely as necessary to provide and protect the Services.

13. Reviews and Feedback

We welcome honest reviews. Posting false, misleading, defamatory, or fraudulent statements about Adaptive or its Services is prohibited and may result in account suspension or termination. The complete terms are set out in our Reviews & Misleading Information Policy, which is incorporated into these Terms by reference.

14. Privacy

Your use of the Services is also governed by our Privacy & Cookie Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to the data practices described in that policy.

15. Disclaimers

15.1 To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

15.2 We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of harmful components.

16. Limitation of Liability

16.1 To the fullest extent permitted by law, in no event will Adaptive, its officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.

16.2 Our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount you paid to Adaptive for the Services giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability.

17. Indemnification

You agree to defend, indemnify, and hold harmless Adaptive and its officers, employees, and suppliers from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Services, or your breach of these Terms or the AUP.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and post the current version on our website. Material changes will be communicated by reasonable means where practicable. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

19. Governing Law and Dispute Resolution

19.1 These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles.

19.2 You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts, and you consent to personal jurisdiction and venue there.

20. General

20.1 If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

20.2 Our failure to enforce any provision is not a waiver of our right to do so later.

20.3 You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

20.4 These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Adaptive regarding the Services.
